Terms of use

The terms on which Helm provides its website and accounts.

1. About these terms

These terms govern your use of the Helm website at helm.business and the Helm account provided by Helmpay Limited (company number 16417022, registered office 2 Frederick Street, London, WC1X 0ND, United Kingdom) ("Helm", "we", "us"). By opening an account or using the website you agree to them. Your account agreement, which you receive before your account opens, contains the terms specific to your account, including the licensed partners that hold your funds and the fee schedule. Where the account agreement and these terms differ, the account agreement applies to your account.

2. Who may hold an account

Helm accounts are available to registered businesses that trade internationally and that meet the eligibility criteria published on the Eligibility page, as updated from time to time. Accounts are not available to businesses registered in the United Kingdom or the European Economic Area, to consumers, or to the businesses and activities listed on the Prohibited businesses page. You confirm that the information you give us when opening and operating the account is accurate and complete and that you will tell us promptly of any change, including a change of ownership, directors, address or the nature of your trade.

3. The services

Helm provides access to: (a) accounts denominated in USD, EUR and GBP with account details in your company's name; (b) international payments on bank rails and in digital dollars; (c) digital dollar (USDC and USDT) balances and conversion; and (d) trade finance facilities arranged under separate facility agreements. Helm is a financial technology company, not a bank. Banking, payment and money transmission services are provided by licensed partner institutions named in your account agreement. Funds held in your account are held by those partners.

4. Fees

Fees are set out in the fee schedule in your account agreement, agreed with your account manager before the account opens. Each fee, the exchange rate and the expected arrival date are shown to you before you approve a payment or conversion, and the figures shown at approval are the figures applied. We may change fees on thirty days' written notice. Network fees for digital dollar payments vary and are shown before you send.

5. Payments

You are responsible for the accuracy of the recipient details you provide. Payments on Fedwire, SWIFT and digital dollar networks are final once sent and cannot be reversed; where a recall is possible we will make the request but cannot guarantee the outcome. We may screen, hold or decline a payment where required by law, by our partners' rules or by our risk policy; where a payment is held for review we will tell you the outcome and the reason in writing within one business day, except where the law prevents us from doing so. Expected arrival dates are estimates based on the rail's published timings and are not guaranteed.

6. Account security

You must keep your login details and second-factor credentials confidential and ensure that each user of your account has their own login. You are responsible for payments approved using your users' credentials. Tell us immediately at security@helm.business if you believe your account has been accessed without authority. We will never ask you for your password or second-factor code.

7. Acceptable use

You must use the account only for the business and the trade you have described to us, in compliance with the law of every country concerned, including sanctions, export control, anti-money-laundering and tax law. You must not use the account for any activity on the Prohibited businesses page, for any third party's funds, or in any way that would cause us or our partners to breach a legal or regulatory obligation.

8. Suspension and closure

We may suspend or close your account, or restrict a service, where required by law or by a partner, where you breach these terms or the account agreement, where we cannot complete our verification of your business, or where we reasonably believe the account is being used for a prohibited activity. Where we are permitted to do so we will tell you the reason in writing. You may close your account at any time by written notice; we will return your balance to a bank account in your company's name once all pending payments have settled, subject to any legal restriction.

9. Liability

We will perform the services with reasonable skill and care. We are not liable for loss caused by events outside our reasonable control, by the acts or omissions of a bank or network that is not our partner, by inaccurate information you provide, or by your breach of these terms. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any liability that cannot be limited by law. Our total liability to you in any twelve-month period is limited to the fees you paid us in that period.

10. Data

We process your data as described in the Privacy policy. We share data with our licensed partners, with screening providers and with authorities where required by law.

11. Changes to these terms

We may change these terms on thirty days' written notice, or sooner where required by law or by a partner. Continuing to use the account after the notice period is acceptance of the change.

12. Governing law

These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory protection you have under the law of the country where your business is registered. Complaints are handled under the process on the Complaints page.
